Part 1: Scope and Applicable Law
Scope
(1) The following General Terms and Conditions (GTC) apply to all legal transactions with consumers and entrepreneurs with:

Legal transactions may be concluded via Messenger (Facebook, WhatsApp, Telegram), by email, through third-party providers such as Thrivecart, or via our website.
(2) The only language available for concluding the contract is English. Translations into other languages are for information purposes only. In case of discrepancies, the English version shall prevail.
(3) These GTC apply exclusively. Any terms and conditions that conflict with or deviate from these GTC will not be accepted, unless we expressly agree in writing or in text form.
Applicable Law and Consumer Protection
(1) The law of the Federal Republic of Germany shall apply, excluding international private law and the UN Convention on Contracts for the International Sale of Goods, if:
a) you order as an entrepreneur,
b) your habitual residence is in Germany, or
c) your habitual residence is in a country outside the European Union.
(2) If you are a consumer (§ 13 BGB) and live in an EU member state, German law also applies. However, mandatory legal provisions of your home country remain unaffected.
Consumer = any natural person concluding a legal transaction for purposes not primarily related to their trade or self-employed profession.
Entrepreneur = any natural or legal person or partnership acting in the exercise of their trade or self-employed profession.
(3) The version of the GTC valid at the time of your order applies.
(4) Prices valid at the time of booking apply.
(5) Special discounts or promotional offers are limited in time or quantity and cannot be claimed as a right.
Part 2: Conclusion of Contract, Payment Terms, Contract Duration
3. Contract Subject
(1) The contract may cover the following services (non-exhaustive list):
Group coaching, masterminds
Group mentoring
Coaching programs
Mentoring programs
Online courses
Individual coaching
Memberships
(2) All offers on the internet are non-binding and do not constitute a legally binding offer.
4. Prices, Payment, and Due Dates
(1) Prices are net prices (excluding German VAT).
(2) Invoices are sent by email as a PDF. Payment is due immediately upon receipt and must be made within 14 days, but no later than before the start of cooperation.
(3) Access to services depends on receipt of payment.
(4) Access is activated only once payment has been credited to our account. You will then promptly receive everything necessary (e.g. Facebook group invitation, links, login details).
(5) You may not exercise a right of retention or offset against our payment claims unless undisputed or legally established.
(6) If a SEPA direct debit mandate is canceled without justification, you must bear bank charges, legal costs, and possible legal consequences.
(7) If you fall into payment arrears, we may withhold, interrupt, delay, or stop services until payment is received, without liability for damages. We encourage you to contact us immediately to find a goodwill solution.
5. Conclusion of Contract
For bookings via spoken word, phone, writing, email, SMS, WhatsApp, Telegram, Facebook groups, or messenger services:
(1) We display offers on websites or posts. Bank details may be provided. This constitutes our offer.
(2) You accept by transferring the specified amount.
(3) Upon sending proof of transfer, you are entitled to the purchased product, no later than the program start date.
(4) For purchases via Thrivecart, you enter your details (name, address, email) in their checkout.
(5) Payment options: credit card, instant payment, prepayment, direct debit, PayPal. Thrivecart sends the invoice. Full payment is due immediately. If installments are available, the first payment grants access; subsequent ones are charged automatically.
(6) Before booking, you agree to our GTC and waive your right of withdrawal.
(7) By clicking the purchase button, you make a binding contractual offer to Thrivecart.
(8) Thrivecart sends a confirmation email immediately. At that point, the contract is concluded.
6. Contract Duration and Termination
The duration is defined in the respective product description. Group calls end with the stated duration.
Extraordinary termination rights remain unaffected, especially if you intentionally breach these GTC or commit unlawful acts.
Part 3: Services and Cancellation
7. Duration and Place of Mentoring
Coaching/mentoring takes place in groups.
Depending on booking, group mentoring lasts 8 weeks to 6 months.
Unless otherwise agreed, sessions take place via Zoom.
Participation in live calls is not guaranteed. Recordings are made available; no repeats are offered.
8. Scope of Service and Missed Services
The scope of services is defined by the booked program.
If participants do not use all services, full payment remains due.
Part 4: Customer Rights and Obligations
10. Access
Access is personal and non-transferable. No physical goods are delivered.
Login details will be sent by email if needed; usage limited to 3 devices.
You must keep login details confidential.
Unauthorized use must be reported immediately.
We may suspend accounts in case of violations.
Access is granted only after payment.
11. Usage Rights
Audio, video, PDF, and other files are for personal use only. Printing and downloading is allowed within course limits.
Sharing, resale, or distribution is prohibited without prior written consent.
Making recordings of live calls or content is forbidden.
12–13. Data Processing
We and Thrivecart collect necessary personal data (name, address, email, company details if applicable) for order fulfillment.
Thrivecart also processes payment data.
Data is stored according to legal requirements; further use requires your consent.
14. IT Requirements
You are responsible for internet access, hardware, software (Zoom, Acrobat Reader, browser, etc.), and Facebook (if you wish to join the support group).
15. Coaching Programs
Success cannot be guaranteed. We provide guidance; implementation is your responsibility.
You remain responsible for your physical and mental health. If you have a diagnosed mental illness, consult your doctor first.
16. Confidentiality
All information, methods, and materials are confidential and considered trade secrets.
Confidentiality applies beyond the end of cooperation.
Exceptions apply if information was already known, independently developed, or public.
Breaches may result in contractual penalties.
Part 5: Confidentiality and Liability
17. Confidentiality
Both parties must keep confidential information secret during and after the program.
18. Liability for Content
We provide examples, templates, and general recommendations. You are responsible for implementation.
Templates must be adapted by you; no liability for completeness or currency.
We may update content at any time.
No liability for third-party content.
19. Limitation of Liability
We are liable for intent and gross negligence.
For ordinary negligence, liability is limited to foreseeable, typical damages in essential obligations.
No liability for internet failures.
Liability exclusions do not apply to injury to life, body, health, or product liability law.
20. Force Majeure
Events such as natural disasters, wars, pandemics, or comparable unforeseeable events suspend contractual obligations.
If lasting longer than 12 months, either party may terminate with notice.
If lasting longer than 18 months, the contract is dissolved with a final settlement.
Part 6: Final Provisions
20. Changes to GTC
GTC may be amended for valid reasons (e.g. law changes, court rulings).
You will be notified and may withdraw within 14 days; otherwise, changes are deemed accepted.
21. Final Clauses
These GTC are complete and final. Changes should be in writing (email is sufficient).
Jurisdiction: Chemnitz, Germany.
EU Online Dispute Resolution is available, but we do not participate.
If individual provisions are invalid, the remainder of the contract remains effective.
